1. Acceptance of Terms

Welcome to Dispatch.Direct. By accessing or using our website, platform, mobile applications, APIs, widgets, or any other services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Dispatch.Direct is an auto transport management platform that connects vehicle transport brokers with carriers. Our Service provides:

  • Load Management: Tools to create, manage, and track vehicle transport orders
  • Carrier Marketplace: A load board where carriers can find and bid on available shipments
  • AI-Powered Quotes: Automated pricing suggestions based on market data
  • Digital Documentation: Electronic Bills of Lading (BOL), e-signatures, and photo inspections
  • Real-Time Tracking: GPS tracking and status updates for shipments
  • Lead Capture Widgets: Embeddable quote forms for broker websites
  • Communication Tools: In-platform messaging between users

Dispatch.Direct is a software platform that facilitates connections between brokers and carriers. We are not a broker, carrier, or freight forwarder ourselves. We do not transport vehicles, guarantee delivery times, or take responsibility for the actual transport services.

3. User Accounts

3.1 Account Registration

To use most features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your password and account. You agree to immediately notify Dispatch.Direct of any unauthorized use of your account or any other breach of security.

3.3 Account Restrictions

You may not:

  • Create multiple accounts without our permission
  • Share your account credentials with others
  • Transfer your account to another party without our consent
  • Use another user's account without permission

4. User Types and Requirements

4.1 Brokers

Auto transport brokers who use our Service must:

  • Hold a valid Motor Carrier (MC) number issued by the FMCSA
  • Maintain appropriate broker authority and insurance
  • Comply with all applicable federal and state regulations
  • Pay the required subscription fee ($20/month)
  • Accurately represent shipment details and pricing

4.2 Carriers

Auto transport carriers who use our Service must:

  • Hold a valid Motor Carrier (MC) and/or DOT number
  • Maintain appropriate carrier authority and insurance
  • Have adequate cargo insurance coverage
  • Comply with all applicable federal and state transportation regulations
  • Operate vehicles that meet all safety requirements
  • Accurately represent their equipment and capabilities

4.3 Verification

We may verify MC/DOT numbers and other credentials through the FMCSA or other sources. We reserve the right to suspend or terminate accounts that provide false information or fail verification.

Carrier Accounts Are Free: Dispatch.Direct does not charge carriers any fees to use the platform. Carriers can browse loads, submit bids, manage shipments, and use all carrier features at no cost.

5. Fees and Payment

5.1 Broker Subscription

Brokers are charged a flat monthly subscription fee of $20 per month. This includes:

  • Unlimited load postings
  • Unlimited vehicle entries
  • AI-powered instant quotes
  • Up to 5 lead capture widgets
  • Digital BOL and e-signatures
  • Customer tracking portal
  • Full access to all broker features

5.2 No Per-Load Fees

Unlike other platforms, Dispatch.Direct does not charge per-load fees, transaction fees, or commissions on shipments arranged through the platform.

5.3 Carrier Accounts

Carrier accounts are and will remain 100% free. We do not charge carriers any subscription fees, per-load fees, or commissions.

5.4 Payment Between Users

All payments between brokers and carriers for transport services are made directly between the parties. Dispatch.Direct does not process, hold, or guarantee these payments. Payment terms should be clearly agreed upon between parties before transport begins.

6. Subscriptions and Billing

6.1 Free Trial

New broker accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial.

6.2 Billing Cycle

After the free trial, broker subscriptions are billed monthly in advance. Your subscription will automatically renew each month unless cancelled.

6.3 Payment Method

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

6.4 Refunds

Subscription fees are non-refundable. If you cancel your subscription, you will retain access until the end of your current billing period.

6.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. After multiple failed attempts, your account may be downgraded or suspended until payment is received.

6.6 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. There are no cancellation fees.

7. User Conduct

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Post false, misleading, or fraudulent information
  • Misrepresent your identity, credentials, or authority
  • Harass, threaten, or abuse other users
  • Spam or send unsolicited communications
  • Manipulate pricing or engage in bid rigging
  • Circumvent or disable any security features
  • Access accounts or data without authorization
  • Scrape, harvest, or collect user data without permission
  • Interfere with the proper functioning of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Double-broker loads without disclosure and consent
Zero Tolerance: We have zero tolerance for fraud, misrepresentation, or illegal activity. Accounts engaged in such conduct will be immediately terminated and reported to appropriate authorities.

8. Transactions and Disputes

8.1 Platform Role

Dispatch.Direct provides a platform for brokers and carriers to connect and arrange vehicle transport services. We are not a party to the transport contracts between users.

8.2 User Responsibility

Users are solely responsible for:

  • Verifying the credentials and reputation of other users
  • Negotiating and agreeing to transport terms and pricing
  • Ensuring proper documentation and contracts
  • Fulfilling their obligations under transport agreements
  • Resolving disputes directly with other users

8.3 Dispute Resolution

We encourage users to resolve disputes directly. While we may provide information or facilitate communication, we do not arbitrate disputes, guarantee outcomes, or provide legal advice.

8.4 Damage Claims

Claims for vehicle damage during transport should be directed to the carrier's insurance. We recommend:

  • Documenting vehicle condition with photos before pickup
  • Using our inspection feature to record pre-existing damage
  • Inspecting vehicles thoroughly at delivery
  • Noting any damage on the Bill of Lading immediately

9. User Content

9.1 Your Content

You retain ownership of content you submit to the Service (photos, documents, messages, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to provide the Service.

9.2 Prohibited Content

You may not submit content that:

  • Infringes on intellectual property rights
  • Is false, defamatory, or misleading
  • Contains malware or harmful code
  • Violates any law or regulation
  • Is obscene, offensive, or inappropriate

9.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

10. Intellectual Property

10.1 Our Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Dispatch.Direct and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

10.2 Trademarks

"Dispatch.Direct" and our logos are trademarks of Dispatch.Direct. You may not use our trademarks without prior written consent.

10.3 Widgets

You are granted a limited license to embed our quote and tracking widgets on your website, subject to these Terms. This license is revocable at our discretion.

11. Disclaimers

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee

We do not guarantee:

  • That the Service will be uninterrupted, error-free, or secure
  • The accuracy of AI-generated quotes or pricing suggestions
  • The credentials, reliability, or conduct of other users
  • That any transport services arranged through the platform will be completed satisfactorily
  • That carriers will be available for your shipments

11.3 Third-Party Services

Our Service integrates with third-party services (Stripe, Google Maps, etc.). We are not responsible for the performance, availability, or actions of these third-party services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCH.DIRECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Vehicle damage during transport
  • Delays in pickup or delivery
  • Non-payment by other users
  • Actions or omissions of other users
  • Interruption of service or data loss

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Dispatch.Direct, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your conduct as a broker or carrier
  • Content you submit to the Service
  • Disputes with other users

14. Termination

14.1 By You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, you will lose access to the Service and your data may be deleted.

14.2 By Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination include but are not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Complaints from other users
  • Extended periods of inactivity

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

15.3 Class Action Waiver

YOU AGREE TO RESOLVE ANY DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

15.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on the Service
  • Updating the "Last updated" date
  • Sending an email notification for significant changes

Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
